1. Program Owner

This Affiliate and Ambassador Program (the "Program") is organized and managed by NUTRIEXPERIENCE S.L., with tax ID B18200253 and registered address at Avenida Europa No. 32 Ptl S 4 B, 28023 Madrid, Spain ("Justloading"), owner of the website www.justloading.com.

2. Purpose of the Program

The purpose of the Program is to establish a network of affiliates and ambassadors who promote Justloading products to their audiences through their digital channels in exchange for a commission on sales generated through their personalized links or codes.

3. Affiliate Profile and Application Process

The Program is intended for individuals or legal entities that carry out digital activity in the fields of nutrition, fitness, healthy living, sports supplementation or related sectors, including, among others:

• Fitness and nutrition content creators on social media.
• Bloggers and managers of websites specializing in healthy living or supplementation.
• Athletes with an active digital presence.
• Certified personal trainers.
• Dietitians and nutritionists with a digital community.
• Nutrition or sports podcasters.
• Managers of gyms, boxes or sports centers with an online presence.
• Sports physiotherapists with a digital audience.
• Other profiles related to a healthy lifestyle and aligned with the brand target, to be assessed by the Justloading marketing team.

3.1 Application form

To take part in the Program, the applicant must complete the form available at www.justloading.com, providing information about their digital profile, channels, audience and activity sector.

3.2 Validation

Justloading will review each application based on criteria such as brand fit, audience reach and content relevance. Justloading may reject applications without having to provide a reason, and without this giving rise to any right to compensation.

3.3 Acceptance

Justloading will notify the applicant by email if they have been accepted. The relationship will begin when this notification is sent and the affiliate expressly accepts it.

4. How the Program Works

4.1 Control panel

Once accepted, the affiliate will have access to a personalized control panel where they can activate their links, view sales statistics and manage their commissions.

4.2 Affiliate link or code

Each affiliate will have a unique, non-transferable link or code. Only sales generated through that link or code will be counted.

4.3 Valid sales

Only purchases that have been effectively completed and have not been cancelled or returned will count for commission purposes. A sale will be considered valid once 30 days have passed from the date of purchase without it being returned or cancelled. Returns or cancellations attributable to logistics or product-related causes will be reviewed by Justloading on a case-by-case basis, and Justloading may maintain the commission if it considers this justified. In the event of cancellations or returns attributable to the end customer, Justloading may deduct the corresponding commission from the next settlement, notifying the affiliate in advance.

5. Affiliate Commission

Calculation basis: The affiliate will receive a commission of 15% on the net billing amount, after applying the corresponding discounts and excluding VAT, for each valid sale generated through their link or code. Shipping costs included in the invoice will not be part of the commission calculation basis.

Payment method: The affiliate must issue an invoice to Justloading for the amount of the commissions accrued, including VAT and personal income tax withholding where applicable according to their tax situation. Justloading cannot pay commissions without the corresponding invoice from the affiliate. If the affiliate cannot issue an invoice, payment may be made in kind through Justloading products.

Settlement: Commissions generated in each calendar month will be settled on the last working day of the following month, subject to receipt of the affiliate's invoice. Example: May sales will be settled on June 30. Commissions will only be paid when the accumulated amount pending settlement is equal to or greater than 50 euros. If the accumulated amount does not reach this threshold, it will be carried over to the next settlement until the minimum amount is reached.

Affiliate tax obligations: The affiliate is solely responsible for complying with their tax obligations. If the affiliate is not registered for an economic activity, they must regularize their situation before receiving commissions. Justloading assumes no responsibility for the affiliate's tax obligations.

6. Incentive for the End Customer

Customers who make their first purchase at www.justloading.com through an affiliate's link or code, with a minimum order amount of 25 euros, will receive a discount coupon of 5 euros applicable to that purchase. This coupon is personal, non-transferable and applies exclusively to the customer's first purchase. It has no cash value. The coupon has no expiry date while the Program remains active.

Combination with other promotions: Whether the coupon can be combined with other active promotions will depend on the technical configuration of the platform at any given time. Justloading will determine in each case whether the coupon can be combined or not, and will communicate this to active affiliates.

Justloading reserves the right to activate or deactivate this incentive by giving active affiliates at least 15 calendar days' prior notice.

7. Affiliate Obligations

The affiliate undertakes to:

• Promote Justloading products truthfully and consistently with the brand's values.
• Clearly identify the commercial nature of their recommendations in accordance with Spanish Law 34/1988 on General Advertising and the AUTOCONTROL Code of Conduct on Influencers. Any content published within the framework of this collaboration must be clearly, visibly and unequivocally identified as commercial communication, using indications such as #publicidad, #publi or #ad, placed prominently and at the beginning of the content.
• Not make claims about the products that are not supported by official Justloading information.
• Not use their own link to make personal purchases in order to generate artificial commissions.
• Not create fake accounts or engage in fraudulent conduct intended to inflate commissions.
• Not associate the Justloading brand with content that is contrary to the law, morality or the brand's values.
• Notify Justloading of any relevant change in their digital profile that could affect their suitability as an affiliate.
• Respect Justloading's trademarks, logos and other visual identity elements, which are the exclusive property of NUTRIEXPERIENCE S.L. Their use is limited to the promotion of products within the framework of this Program and in accordance with the current brand guidelines. Any modification or use outside this purpose without prior written authorization is prohibited.

Content created by the affiliate within the framework of this collaboration is owned by the affiliate. However, the affiliate grants Justloading a non-exclusive, free, worldwide license to use, reproduce and share such content on Justloading's own digital channels, provided that the content is related to the promotion of the Program or the brand's products.

8. Fraud, Misuse and Exclusions

Justloading may cancel commissions, deactivate links or codes, suspend the affiliate account or terminate participation in the Program if it detects fraudulent use, misuse or any conduct contrary to these Terms.

The following will not generate commissions, among other cases: self-purchases made by the affiliate, purchases made with fake accounts, orders cancelled or returned, transactions generated through misleading advertising, unauthorized use of the brand, or any attempt to manipulate the tracking system.

9. Duration and Termination

The Program will remain in force indefinitely unless Justloading decides to modify, suspend or terminate it. Justloading may modify these Terms by notifying active affiliates at least 15 calendar days in advance.

The affiliate may request to leave the Program at any time by sending written notification. The affiliate will be entitled to receive the commissions generated and validly accredited up to the termination date, subject to issuing the corresponding invoice.

10. Data Protection

Affiliates' personal data will be processed by NUTRIEXPERIENCE S.L. in accordance with the GDPR and the Spanish LOPDGDD, for the purpose of managing the relationship arising from the Program. Data subjects may exercise their rights by writing to [email protected].

11. Tax Regime

The affiliate is solely responsible for complying with their tax obligations. In order to receive commissions, the affiliate must be registered for an economic activity with the Spanish Tax Agency and issue the corresponding invoice with VAT and personal income tax withholding where applicable according to their situation. Justloading cannot make payments without a prior valid invoice.

12. Applicable Law and Jurisdiction

These Terms are governed by Spanish law. Any dispute will be submitted to the Courts and Tribunals of Madrid, with express waiver of any other jurisdiction.
